摘要
国有商业银行产权制度变迁的实现形式是股份制改造。股份制改造首先是将国有商业银行的国有独资形式转变为多个股东持股形式,进而再转化为上市公司形式。国有商业银行的股份制改造面临着改制方式、股权设置、国有股属性定位、上市地点、上市主体等多种选择,并且由于上市地点、上市主体的不同,上市存在着15种可能的组合,但最容易的是海外分拆上市。
Reforming model of state-owned commercial bank's ownership system is joint stock system. Joint stock system reforming firstly transfers state-owned commercial bank's ownership to several shareholders, and then transfers to quoted company model. Reforming of state-owned commercial bank is facing multi-selections about reforming model, stock ownership rights setting, state-owned characters defining, quoted place and quoted entity. There are 15 different quoted possible combinations because of different place and entity. The easiest one is overseas split-off company.
