公司股权的“市场结构”类型与股东治理行为

Analysis on Relation between “Market Structure” of Corporate Ownership and Governance Behavior of the Corporate Shareholders

公司股东的治理行为与公司股权结构的类型密切相关。已有的文献存在的一个主要问题是没有在合理界定公司股权结构类型的基础上分析股东治理行为与作用。鉴于此,本文借用产业组织学中的“市场结构”的概念,结合公司股东持有股份的结构特征,对公司股权“市场结构”的类型加以界定;在此基础上,建立了一个公司股东治理行为的分析框架,并分析了不同公司股权“市场结构”下的股东治理行为;最后,本文就我国上市公司应选择何种类型的股权“市场结构”问题进行了探讨。

The behavior of the corporate shareholders is closely related to the type of corporate ownership structure.The paper uses the concept of'market structure'in industrial economics,combine with the characteristics of ownership structure of corporation to set up a analysis frame of governance behavior of corporate shareholders.And the paper analyze the behavior of shareholders governance under different ownership'market structure'in detail.Finally,the paper discuss the problem which type ownership'market structure'that Chinese listed companies should choose.
