公司治理能拯救国有企业吗——兼论国有企业改革的基本思路

Can Corporate Governance Solve the Problems of State-owned Enterprises--Consideration to Fundamental Thinking of State-owned Enterprises' Reform

公司治理是西方社会中一种行之有效的企业组织和管理模式,对我国国有企业改革具有积极的借鉴意义。我们认为公司治理的本质是建立在产权清晰基础上责权利的一种制度安排。国有企业改革关键的问题是产权制度的改革,而不仅仅是由"党委领导下的厂长负责制"或"厂长负责制"转化为"公司制"。所以有必要对国有企业进行重新定位,以防止借改革之名行权力寻租之实。

Corporate Governance, an effective pattern of enterprise organization and management in West, is of positive reference to the reform of state-owned enterprises. This article deems that the nature of Corporate Governance is a system arrangement of liability, power and interest based on clear property right, rather than the transform from system of overall responsibility by factory manager with the leadership of Party committee or'system of overall responsibility by factory manager' to'corporation system' . Therefore, the reorientation of state-owned enterprises is of great importance to avoid rent capturing of power in name of reform.
