摘要 家族和企业,这两种人类社会的组织方式交织在一起,衍生出无数故事。相对于模糊的“民营企业”,家族企业这个词更加直截了当。如果说中国的家族企业是伴随着不可名状的忐忑与低调实现了高速发展,今年3月召开的“两会”则终于把民营经济的发展思路由政策推进转为法律保障,这次“两会”因“中国公民合法的私有财产受宪法保护”被明确无误地写入宪法而牵动了太多工商业者的心。 根据全国工商联统计,目前中国GDP的一半来自于民营经济。而家族信用是民营企业初创时期的温床和摇篮这一假设,不仅在中国以及东方国家得以验证,在欧美国家也早已得到证明。香港中文大学教授郎咸平2001年所做的统计表明,在东亚国家和地区(除日本外)的上市公司中,由家族控制的上市公司的比例,最低的是菲律宾(44.6%).最高的是香港地区(66.7%);欧洲各国的上市公司中,由家族控制的上市公司比例,最低的是英国(23.7%),最高的是法国(64.8%)。 但置身于阳光下的中国家族企业群体能否真正破茧而出,迎来更蓬勃的成长?体制带来的效率优势还能在多大程度上支撑它们内在的竞争力?在家族企业面前,横亘着“战略能力”、“职业管理体系”、“持续融资能力”、“产权与资本结构”、“以血缘和亲情为基础的企业文化改造”等等诸多难题。这些问题的? FAR EAST Group, based in Yixing, Jiangsu province, is a private company with 3 billion yuan revenue. Its founder and his family members own 80% shares of the company. The founder, Mr. Jiang Xipei, tries various means to break situation of family management. First he failed, but at last he introduced an outside talent into its top management. He hired a management expert as a vice president in 2001 who is in charge of human resources management and branding promotion. With the support of the founder, the vice president has successfully implemented a new system of salaries and wages. Meanwhile, the founder, Mr. Jiang also tries to reduce the family's shares and transforms the company in accordance with the Law of Companies. He invites outside investors to join the company and also let the employees buy shares of the company. A regular share-holders meeting system and a director board is set up. Under his leadership, merits of a modern management and family-running of a company is fully developed.
