无效法律行为转换探析——兼评《中华人民共和国民法(草案)》第67条

私法自治原则以及作为其重要表现的法律行为在现代社会已受到诸多限制。规定生效要件是对法律行为进行限制的重要手段。不同生效要件有不同目的导致不同法律后果。形式要件是生效要件之一。违反形式要件不一定导致法律行为无效,可转换成权义结构相似形式要件不同的它种法律行为,也即无效法律行为转换。我国即将制定的民法典民事法律行为一章中应引入无效法律行为转换。

The principle of autonomy of private law and it's representative—— jural behavior have been restricted by. There are many ways to restrict jural behavior. One of these is efficacious condition. Different efficacious condition has different aim. The offence of efficacious condition of form doesn't lead jural behavior to be absolutely inefficient. The inefficient jural behavior may be converted to other jural behavior. This is what we call as the conversion of inefficient jural behavior system.
