Is the Equity Transfer Agreement of a Chinese-Foreign Contractual Joint Venture Valid? A Case Comment on Xianyuan v.Zhongxin

Under Chinese law, when parties have signed an equity transfer agreement of the Chinese-Foreign contractual joint venture, they need to report to the examination and approval authority for approval. However, due to imperfection of and conflicts among laws and regulations as well as misunderstanding of the above system, it is always difficult for judges to determine the validity of such equity transfer agreement under the administrative approval system. Among the three categories of FIEs provided in Chinese law 1, scholars have had a comprehensive discussion over equity transfer agreement involving Sino-Foreign Equity Joint Venture Enterprises, but this case is concerned with the equity transfer agreement of a Chinese-Foreign contractual joint venture. In this case, the People's Supreme Court holds that the equity transfer agreement that has not undergone the approval procedures are not valid but not void. Furthermore, the parties that are bound to submit the agreement to the approval authority shall perform their duties of this kind. 展开更多

深化产教融合是职业教育实现高质量发展的核心举措。改革开放以来,我国职业教育产教融合在政策牵引和实践演绎的相互作用下,展现了由松散到紧密、由浅层次到深层次的演变历程。但长期以来,产教“融而不合”、校企“跨而不实”的现实困... 深化产教融合是职业教育实现高质量发展的核心举措。改革开放以来,我国职业教育产教融合在政策牵引和实践演绎的相互作用下,展现了由松散到紧密、由浅层次到深层次的演变历程。但长期以来,产教“融而不合”、校企“跨而不实”的现实困境始终难以破题。伴随市域产教联合体、行业产教融合共同体等新型产教跨界组织的产生与发展,以制度突破为基本前提,推进跨界组织的实体化运作成为深化职业教育产教融合的关键。而实现这一点,需要跨界组织具有符合实际的组织结构、发挥实效的主导权力、约束有力的职责分工、稳定的利益共享机制、有效的激励保障政策,也需要多方主体协同有效的共建共治。 展开更多

目的探讨现代介入医学与传统中医肿瘤学联合培养研究生的效果。方法选取2018年1月至2022年1月就读于河南中医药大学中医药防治恶性肿瘤专业的50名硕士、博士研究生作为研究对象,按照随机数表法分为中医联合介入教学组及传统中医教学组,... 目的探讨现代介入医学与传统中医肿瘤学联合培养研究生的效果。方法选取2018年1月至2022年1月就读于河南中医药大学中医药防治恶性肿瘤专业的50名硕士、博士研究生作为研究对象,按照随机数表法分为中医联合介入教学组及传统中医教学组,各25名。中医联合介入教学组学员到郑州大学第一附属医院介入科轮转、学习介入知识,并在带教老师指导下学习与跟台介入手术,全面了解现代介入医学。传统中医教学组学员按原定培养计划培养,但由郑州大学第一附属医院介入科医生进行每周1次的介入理论授课,比较两组基础理论知识及操作技能知识。结果中医联合介入教学组基础理论知识及操作技能知识得分均高于传统中医教学组(P<0.05)。结论现代介入医学与传统中医肿瘤学联合培养研究生的模式效果较好,值得在其他医学院校中推广。 展开更多

本研究旨在探索与研究基于移动互联网络的渐进式手绘图谱微课教学模式在骨科专业学习中的应用价值,以期进一步优化教学模式,提高学生学习效果和满意度,改善学习态度。本研究选取iPad应用程序Procreate及其他方式进行手绘,采用录屏和手... 本研究旨在探索与研究基于移动互联网络的渐进式手绘图谱微课教学模式在骨科专业学习中的应用价值,以期进一步优化教学模式,提高学生学习效果和满意度,改善学习态度。本研究选取iPad应用程序Procreate及其他方式进行手绘,采用录屏和手机俯拍方式进行视频录制,从而保证了微课教学的互动性、灵活性和流畅性。在教学内容方面,着重介绍了膝关节半月板损伤、膝关节置换和骨折治疗等课程,以期为学生提供更加专业、实用和全面的学习资源。此外,本研究还对教学效果进行了全面评估和反馈,以便不断完善教学方法和内容。研究结果显示,基于移动互联网络的渐进式手绘图谱微课教学对学生学习效果、学习态度和满意度都产生了积极影响。学生在参与手绘微课教学后的成绩普遍提升,对教学方式和内容表达出积极态度,并对教学方式感到满意。因此,本研究为骨科专业学习提供了一种创新的教学模式,具有较好的应用前景。 展开更多
