From May 25 to October 7,2024,L’éCOLE China,School of Jewelry Arts(supported by Van Cleef & Arpels) presents the "Garden of Emeralds" exhibition in its Shanghai campus.As part of the "Discover the Gemstones" series,the exhibition gives pride to this green precious mineral and explores its history in many regions of the world,from Asia to Europe including the Middle East.Gathering both raw stones and pieces of jewelry from museum collections and private lenders,it addresses the topic through the three main pillars of L’éCOLE:gemmology,savoir-faire and the history of jewelry.

Women on Boards of Directors

This research aims to measure the current gender representation in membership of boards of directors,and to study the factors affecting the presence of women on boards.The results of the study will support the decision makers and policy makers at all levels by providing knowledge that contributes to bridging the current gap in participation of women boards.The methodology used in this research is the descriptive analytical approach,which relies on quantitative methods in the process of collecting and analyzing data.This study represents the boards of directors in the three sectors(public,private,and non-profit)in the Kingdom of Saudi Arabia,The study sample contained 350 targets,where a random sample of 150 people in the public sector,100 people in the private sector,and 100 people in the non-profit sector were selected.The research result found that the majority of the responses believe that the lack of experience and training,and social factors,are the most impact areas of explaining the reasons for the existence of a gap in women’s membership in boards of directors in the three sectors.And the most important reasons for the existence of a gender gap in board membership are:there is no statutory minimum percentage for women’s representation on boards of directors,and scarcity of female competencies in general,and the lack of women occupying leadership positions.

Buckling morphology of glassy nematic films with staggered director field

The photo-induced buckling of axially periodic glassy nematic films with alternating stripped director domains is explored by the F¨oppl-von K′arm′an plate theory along with a modified kinetics approach.The effects of domain widths on the critical light intensity as well as the buckling morphology are examined numerically.It is found that in most cases the buckled film forms regularly aligned dimples and protrusions,but shows large scale bending perpendicular to the periodic axis if the widths of the stripes are nearly the same.In addition,change in light intensity is shown to alter the wavenumber of the buckling pattern.These results are expected helpful to the design of shape-shifting structures with glassy nematic films.

Female directors in the boardroom and intellectual capital performance:Does the“critical mass”matter?

This research aims to investigate the influence of female directors on Intellectual Capital Performance(ICP)using a sample of manufacturing-listed companies in China.Our study investigates the link between having two or more female directors and the Modified Value-Added Intellectual Coefficient(MVAIC)methodology,employing the critical mass theory from 2004–2017.We find that having a critical mass of female directors(three or more)shows a significant positive impact on MVAIC and its components,including human capital efficiency,structural capital efficiency,relational capital efficiency,and physical capital efficiency,with physical capital being the critical driver.Our study reveals that the critical mass participation of female directors substantially influences the IC efficiency of privately owned companies compared to state-owned companies.Moreover,the number of female directors also affects the IC performance of manufacturing companies in multiple regions.Our findings support the validity of group classification identified by Kanter and Critical Mass Theory.To the best of our knowledge,this is one of the few pieces of research that studies the role of female board directors in IC performance and Chinese manufacturing firms using MVAIC as an IC measure.

针对传统Photoshop教学系统存在的功能分散和使用限制等问题,设计一种基于Director架构的Photoshop视频教学系统。该系统分为视频教学、案例欣赏、使用说明、内容浏览及素材源等模块,并利用演化算法对登录管理、资源管理、测验管理进行功能验证。结果表明,系统具有较强的交互功能,能够满足教学需求,可为数字化教学提供全新的技术手段。

董事会国际化对企业数字化转型的影响--基于A股上市公司的经验证据

数字化转型作为企业重要的战略之一,对经济高质量发展意义重大。本文立足于董事会组成结构,基于2011-2021年沪深A股上市公司数据,探究了董事会国际化对企业数字化转型的影响及内在机制。研究结果表明,董事会国际化对企业数字化转型具有显著的促进作用,该结论在经过一系列稳健性及内生性检验后依然成立。机制检验结果表明,董事会国际化可通过缓解融资约束,提高企业风险承担能力和内部控制水平,共同推动企业数字化转型。进一步研究发现,企业面临的市场竞争强度以及外部不确定性越大,其董事会国际化对企业数字化的促进作用便越明显,且董事会国际化可通过促进数字化转型提升企业创新绩效。因此,政府和相关机构应鼓励和引导企业董事会的国际化发展,完善相关法律法规并合理使用相关政策工具,为企业提供更为便利的融资条件,为企业提供数字化转型的资金需求,助力企业在全球数字化变革中实现高质量转型发展。

Transforming the World of Textiles:efficiency,digitization and circulation--Interview with Dr. Janpeter Horn,Chairman of the VDMA TextileMachinery Association, andManaging Director of August HerzogMaschinenfabrik

Most of 2022 was a good year for the German textile machinery sector. The overall exports of textile machinery and accessories summed up to approx. 3 billion euros, which was slightly above the good year 2021. But from autumn on, incoming orders have slowed down and there have been some cancellations. The latest turnover forecast of the VDMA assumes a minus of 7 percent for our industry in 2023/2022(coming from high numbers in 2022/2021: plus 19 percent).

“导演中心”语境下中国当代话剧文体的变革模式及反思

“导演中心制”的推行影响了话剧文体,“导演时代”的话剧文体与传统文体存在明显的差异。但是,中国和西方在“导演中心”和话剧文体之间形成了不同的变革模式。西方戏剧文体的变革和导演上位都以思想为先导。中国当代话剧文体的变革则同舞台形式的革新相关。文体变革模式的选择对中国当代话剧产生了复杂的影响,整体而言,剧本的文学性和演出的文学性都有所下滑。从话剧文体变革模式可以见到中国话剧发展的普遍性问题,思想缺席仍是制约中国话剧发展的最大瓶颈。

公司濒临破产时董事破产申请义务的立法建构

公司濒临破产时已经或者即将失去债务清偿能力,此时的经营风险将由股东向债权人进行转移。董事破产申请义务是助力债权人应对上述风险的重要支点,因为这一制度能够有效地遏制股东、董事以及债权人内部的机会主义行为,防止公司资产的持续恶化。在学理上,“直接义务论”和“间接义务论”都可以为其立法建构提供逻辑支持,前者强调当公司濒临破产时董事对债权人直接承担信义义务,后者则认为此时董事依然对公司整体承担信义义务,但是应在决策中重点考量债权人利益。从我国公司治理实践来看,也有推进该制度立法建构的现实需求,包括平衡认缴资本制对法定资本规则的弱化、弥补破产程序启动规制的不足、顺应董事会中心主义治理模式的发展以及填补公司法与破产法之间的制度缝隙等。无论是德国和奥地利对该制度的明确规定,还是美国的“加深破产理论”与英国的“不当交易条款”等功能性替代规定,都能够为我国的立法提供参考。就具体的本土方案而言,可以“直接义务论”为指引,将该制度嵌入破产法体系之中。同时,围绕董事破产申请义务触发条件的界定、董事破产申请义务启动主体构成边界的明晰、董事破产申请义务限制期限的规制、董事破产申请义务中重整程序的融入、董事违反破产申请义务的责任承担以及董事违反破产申请义务的债权人追诉机制等相关内容,建构系统化的具体规则。

新《公司法》中的股东出资义务

新《公司法》以强化股东出资义务为导向,对公司出资制度进行了修改,新增了董事会核查和催缴、股东失权制度以及加速到期制度。这些新增制度在实践中如何适用,需进一步研究和探索。股东违反出资义务需要承担补足和赔偿责任,其他股东和董事也可能承担相应责任。

“监督机制”还是“掏空行为”:超额聘任独立董事与企业环保投资

以2007—2021年沪深A股上市公司为研究对象,深入探究超额聘任独立董事对企业环保投资的影响效应及作用机制。研究发现:超额聘任独立董事对企业环保投资具有显著的促进作用,验证了超额聘任独立董事属于一种“监督机制”;超额聘任独立董事通过抑制管理层短视和大股东掏空行为来促进企业进行环保投资;在重污染行业、两职合一以及独立董事薪酬较低的企业中,超额聘任独立董事对企业环保投资的促进作用更显著。

非国有董事治理积极性与国有企业审计意见决策

如何发挥非国有董事治理积极性以提高国有企业审计意见质量,实现国有资产保值增值,是深化国有企业改革亟需研究的问题。以2013—2022年A股国有企业上市公司为样本,构建离散选择模型,以投非赞成票代理非国有董事治理积极性。研究发现,非国有董事治理积极性越高,越能够提示应计盈余管理风险,审计师越倾向出具非标准审计意见;第一大非国有股东持股比例越高,混改国有企业股权集中度越低,非国有董事治理积极性与审计意见谨慎性的关系越显著。经过稳健性检验,研究结论不变。进一步研究发现,非国有董事积极履行治理职能导致审计意见质量提高有利于混改国有企业资产保值增值,实现国有企业混改主要目标。研究结论对于国有企业审计师正确决策审计意见、非国有董事有效维权、政府监管部门和混改国有企业充分尊重非国有董事治理的积极性、实现国有企业改革目标,均具有启示意义。

教育局长教育培训的历程、经验和展望
